Terms of Use.

The legal agreement between you and Centipid Technologies covering use of the WiFi marketing platform, your rights, our obligations, and the rules that keep the platform safe and compliant for everyone.

Section 1

Agreement to Terms

Key Point

By creating a Centipid account, you enter into a legally binding agreement with Centipid Technologies Limited. If you are accepting on behalf of a business, you confirm you have authority to bind that entity. Please read these terms carefully before using the platform.

These Terms of Use ("Terms") constitute a binding legal agreement between you ("Customer", "you", "your") and Centipid Technologies Limited, a company incorporated in Kenya ("Centipid", "we", "us"). These Terms govern your access to and use of the Centipid WiFi marketing platform, including the dashboard, captive portal infrastructure, campaign tools, APIs, and any related services (collectively, the "Services").

By registering for an account, clicking "I agree", or otherwise accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not use the Services.

These Terms were last updated on 13 May 2026. We will notify you of material changes in accordance with Section 19.

Section 2

Services Description

Centipid provides a cloud-based WiFi marketing and analytics platform designed for venue operators worldwide. The Services include:

  • Captive portal infrastructure — branded WiFi login pages that capture guest details and manage network access through MikroTik, Ubiquiti, and other compatible hardware.
  • Lead capture and CRM — storage and management of contact data collected from WiFi end users through your portal.
  • Campaign automation — email, SMS, and WhatsApp marketing automation for welcome flows, win-back campaigns, birthday offers, and custom sequences.
  • Analytics and reporting — visit frequency data, foot traffic heatmaps, campaign performance metrics, and customer segmentation tools.
  • Integrations — connections to third-party CRM, email, and analytics platforms including Mailchimp, HubSpot, Salesforce, Google Analytics, and others.
  • REST API — programmatic access to your Centipid account data and campaign functionality (Professional and Scale plans).
  • Technical onboarding — router configuration and portal setup assistance provided by the Centipid team.

The specific features available to you depend on your subscription plan. Plan details are available at centipidmarketing.com/pricing and may be updated from time to time.

Section 3

Account Registration

To access the Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration and keep it updated.
  • Maintain the security of your credentials — your username, password, and any API keys associated with your account.
  • Notify us immediately at [email protected] if you suspect any unauthorised access to your account.
  • Accept responsibility for all activity that occurs under your account, including actions by staff or agents to whom you grant access.
  • Not create accounts using false identities, automated means, or for purposes of circumventing these Terms.

You may grant multiple users access to your Centipid account. You are responsible for ensuring that all users who access your account comply with these Terms. Centipid is not liable for losses caused by unauthorised account access due to your failure to maintain credential security.

Accounts are for business use. The Services are not intended for personal, household, or consumer purposes. You represent that you are at least 18 years old and are operating a legitimate business when creating an account.

Section 4

Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not use the Services in any way that:

  • Violates any applicable local, national, or international law or regulation, including data protection, anti-spam, telecommunications, and consumer protection laws.
  • Infringes the intellectual property, privacy, or other rights of any third party.
  • Involves the transmission of unsolicited commercial communications ("spam") to persons who have not provided valid, verifiable consent.
  • Involves deceptive, misleading, or fraudulent practices in any campaign content or portal messaging.
  • Is used to facilitate the unlawful collection of personal data from minors.
  • Degrades the performance of the Centipid platform or any shared infrastructure in a way that affects other customers.
  • Is used to conduct load testing, stress testing, or security scanning of Centipid's systems without prior written authorisation.
Section 5

WiFi Marketing Specific Rules

Because Centipid operates captive portal infrastructure that captures data from members of the public at physical venues, the following rules apply specifically to your use of the WiFi marketing features:

Consent Requirements

You are legally responsible as the data controller for obtaining valid, informed consent from WiFi end users before capturing their personal data or sending them marketing communications. You must:

  • Display a clear, accessible privacy notice on your captive portal that explains what data is collected and how it will be used.
  • Ensure the marketing consent checkbox is unchecked by default and that opting in is genuinely optional for WiFi access where technically feasible.
  • Maintain records of consent with timestamps for each end user. Centipid records consent state automatically; you are responsible for ensuring the consent language displayed is accurate and compliant.
  • Honour opt-out requests promptly. Any end user who unsubscribes or replies STOP must be removed from your marketing list within 24 hours. Centipid processes opt-outs automatically for managed campaigns.

Network Access & Fair Use

  • You must not use the Centipid captive portal to provide WiFi access to venues or for purposes that are illegal or facilitate illegal activity.
  • Bandwidth caps and session limits configured in your Centipid plan must be applied consistently. You may not configure your portal to mislead end users about the nature or terms of WiFi access.
  • MAC address data captured for session management must not be used for tracking individuals across venues without their explicit consent.

Portal Content

  • Your captive portal must not display content that is offensive, discriminatory, or in violation of applicable advertising standards.
  • Sponsored or paid promotional content displayed on your portal is your responsibility. Centipid is not liable for sponsor content you choose to display.
  • You may not impersonate any third party, government authority, or brand in your portal design or campaign content.
Section 6

Campaign Compliance

Your use of Centipid's email, SMS, and WhatsApp campaign features must comply with applicable anti-spam and electronic communications laws. Key requirements include:

All campaigns sent through Centipid must include:

  • Accurate sender identification — your business name must be clearly identifiable as the sender.
  • A working unsubscribe mechanism — Centipid includes this automatically in all managed campaigns.
  • Honest subject lines — subject lines and preview text must not be misleading about the content of the message.
  • Relevant content — campaigns must relate to the nature of the business and the reason the end user connected to your WiFi.
Zero Tolerance

Centipid operates a zero-tolerance policy for spam. Accounts found sending unsolicited bulk commercial messages to recipients who did not provide valid consent will be suspended immediately without refund. Repeat violations will result in permanent account termination and may be reported to the relevant communications authority in your jurisdiction.

Section 7

Data Ownership

Your data is yours. Centipid makes no claim of ownership over the contact data, campaign content, portal designs, or analytics you generate through the platform.

  • Customer Data — all contact records, campaign history, visitor analytics, and portal configurations created through your Centipid account belong to you. You may export your full dataset at any time in CSV or JSON format from the dashboard.
  • Licence to Centipid — you grant Centipid a limited, non-exclusive, royalty-free licence to process your Customer Data solely to provide and improve the Services, as described in our Privacy Policy.
  • Aggregated analytics — Centipid may use anonymised, aggregated data derived from platform usage (not identifiable to any individual or business) for product development, benchmarking, and published industry statistics.
  • Data portability — on request or upon account closure, Centipid will provide a full export of your Customer Data within 5 business days. Data will be permanently deleted from our systems within 30 days of account closure.

You represent and warrant that you have the right to collect and process the personal data you capture through the Centipid platform, and that your use of it complies with applicable law.

Section 8

Intellectual Property

Centipid's IP

The Centipid platform, including its software, algorithms, user interface, design, documentation, and all underlying technology, is owned by Centipid Technologies Limited and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any ownership of Centipid's intellectual property to you.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services during your subscription period, solely for your internal business purposes.

Your IP

You retain ownership of all content you create, upload, or configure within the platform, including portal designs, campaign copy, images, and business branding. By uploading content to the platform, you warrant that you own or have appropriate licences for all material used.

Feedback

If you submit ideas, suggestions, or feedback about the Services, you grant Centipid a perpetual, royalty-free licence to use such feedback without compensation or obligation to you. You are under no obligation to provide feedback.

Section 9

Payments & Billing

Subscription Fees

Centipid charges subscription fees on a monthly or annual basis depending on your chosen plan. Current pricing is available at centipidmarketing.com/pricing. A one-time setup fee applies at account creation for all plans.

Payment Methods

We accept payment via M-Pesa (Kenya), Paystack (Nigeria), Flutterwave (Ghana, Uganda), and major credit/debit cards (Visa, Mastercard) processed by Stripe. Payment method availability may vary by country. Local bank transfer options are available on Professional and Scale plans on request.

Billing Cycle

Subscriptions renew automatically at the end of each billing period (monthly or annually) unless cancelled before the renewal date. We will send a renewal reminder by email at least 7 days before the renewal date. You authorise Centipid to charge your payment method on file for the renewal amount.

Failed Payments

If a payment fails, we will retry up to three times over 5 business days and notify you by email. If payment remains outstanding after 10 days, your account will be suspended (data preserved, features locked). After 30 days of non-payment, we may terminate the account in accordance with Section 17.

Price Changes

We reserve the right to change subscription prices. We will notify you at least 30 days before a price change takes effect, giving you the opportunity to cancel before the new rate applies. Price changes do not affect annual subscriptions already paid for.

Section 10

Cancellation & Refunds

Cancellation

You may cancel your subscription at any time from the account settings in the Centipid dashboard, or by contacting [email protected]. Cancellation takes effect at the end of the current billing period. You will retain full access to the Services until the period ends.

Free Trial

New accounts receive a 14-day free trial with full access to the chosen plan. No credit card is required. If you do not subscribe before the trial ends, your account will be deactivated and your data preserved for 30 days before deletion.

Refunds

  • Monthly subscriptions — no refunds for partial months. If you cancel mid-month, you retain access until the end of the period and are not charged again.
  • Annual subscriptions — if you cancel within 30 days of an annual payment, you are entitled to a pro-rated refund for unused complete months. After 30 days, no refund is issued for annual payments.
  • Setup fees — non-refundable once technical onboarding has been completed.
  • Service failures — if the platform experiences downtime in excess of the committed SLA (see Section 11), you may request a service credit. Service credits are applied to future invoices and are not paid in cash.

To request a refund, email [email protected] with your account details and the reason for the refund request. We process all refund requests within 10 business days.

Section 11

Service Availability & SLA

Centipid targets the following service availability for the core platform:

Uptime is measured excluding scheduled maintenance windows (announced at least 48 hours in advance), force majeure events, and outages caused by third-party infrastructure providers or your own hardware. If uptime falls below these targets in any calendar month, you may request a service credit equal to one week of subscription fees.

Live system status is available at status.centipidmarketing.com. We publish post-incident reports for all incidents with over 30 minutes of service impact.

Section 12

Prohibited Activities

The following activities are strictly prohibited on the Centipid platform and may result in immediate account suspension or termination:

Spam and unsolicited messaging Sending marketing messages to people who have not given valid, verifiable consent to receive them from your specific business.

Data harvesting without consent Capturing personal data through portals without displaying a compliant privacy notice and obtaining appropriate consent.

Reselling without authorisation Reselling or sub-licensing access to the Centipid platform to third parties without a formal reseller agreement with Centipid.

Reverse engineering Decompiling, disassembling, or attempting to derive the source code of the platform's software components.

Abusive API usage Sending automated requests that exceed reasonable API rate limits, or using the API to scrape data not associated with your own account.

Credential sharing Sharing account credentials with individuals outside your authorised team, particularly in ways that exceed your plan's user allocation.

Fraudulent campaigns Using the platform to send campaigns that impersonate a brand, government body, or financial institution, or to promote scams or fraudulent offers.

Harmful content Distributing content through the platform that is illegal, harassing, hateful, sexually explicit, or promotes violence or terrorism.

Security circumvention Attempting to bypass any security controls, authentication mechanisms, or access restrictions on the platform or its infrastructure.

Competitive intelligence gathering Using the platform to systematically gather information about Centipid's technology, infrastructure, or other customers' operations.

Section 13

Third-Party Services & Integrations

The Centipid platform integrates with third-party services including payment providers, CRM platforms, email delivery services, SMS gateways, and social login providers. Use of these integrations is subject to the third party's own terms of service and privacy policies.

Centipid is not responsible for the availability, accuracy, or functionality of third-party services. Disruptions to third-party services (such as WhatsApp API outages or SMS gateway issues) do not constitute Centipid service failures for SLA purposes, although we will work to resolve or reroute affected services as quickly as possible.

When you connect a third-party integration to your Centipid account (e.g., Mailchimp, HubSpot), you authorise Centipid to transfer your Customer Data to that service. You are responsible for ensuring your use of that integration complies with your obligations to your contacts and with the third party's terms.

Section 14

Disclaimers & Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Centipid does not warrant that the Services will be uninterrupted, error-free, or completely secure. We do not warrant the accuracy, completeness, or reliability of any analytics, reports, or campaign performance data generated by the platform.

Centipid does not make any representations about the effectiveness of any marketing campaigns run through the platform. Campaign open rates, click-through rates, and conversion metrics are provided for informational purposes only and are not guaranteed.

Legal Compliance Responsibility

Centipid provides tools for WiFi marketing. We do not provide legal advice. You are responsible for ensuring that your use of the platform — including your data collection practices, campaign content, and consent mechanisms — complies with all laws applicable to your business and your customers. If in doubt, consult a qualified legal professional in your jurisdiction.

Section 15

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CENTIPID'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL CENTIPID BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF CENTIPID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These limitations apply regardless of the form of action and whether or not we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

Nothing in these Terms limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law.

Section 16

Indemnification

You agree to indemnify, defend, and hold harmless Centipid Technologies Limited and its directors, officers, employees, agents, and sub-contractors from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Services in violation of these Terms or applicable law.
  • Your collection, use, or processing of personal data through the Centipid platform, including any failure to obtain valid consent from WiFi end users.
  • Any campaign content you create or distribute through the platform that violates applicable law, including anti-spam regulations.
  • Any claim by a third party (including a WiFi end user) that your use of the Centipid platform violated their rights.
  • Your violation of any third party's intellectual property or other proprietary rights.

Centipid reserves the right to assume control of the defence of any matter for which you are required to indemnify us, at your expense. You agree to cooperate fully with any such defence.

Section 17

Termination

Termination by You

You may terminate your account at any time by cancelling your subscription through the dashboard or by emailing [email protected]. Upon termination, you will retain access until the end of your current billing period.

Termination by Centipid

We may suspend or terminate your account immediately if:

  • You materially breach these Terms and fail to cure the breach within 10 days of written notice.
  • Your account is used to send spam, distribute illegal content, or engage in any of the prohibited activities in Section 12.
  • Your account remains unpaid for more than 30 days after the due date.
  • We are required to do so by law or court order.
  • We reasonably determine that continued service poses a legal, reputational, or security risk.

Where possible, we will give reasonable prior notice before termination. In cases of spam, security breach, or illegal activity, we may terminate immediately without notice.

Effect of Termination

On termination, your right to use the Services ceases. We will make your data available for export for 30 days following termination, after which it will be permanently deleted. Provisions of these Terms that by their nature should survive termination (including Sections 7, 8, 14, 15, 16, and 18) will survive.

Section 18

Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law principles.

Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at [email protected] and attempt to resolve the dispute informally. We will respond within 10 business days. Most disputes are resolved at this stage.

Arbitration

If informal resolution fails, disputes shall be referred to and finally resolved by binding arbitration administered under the Nairobi Centre for International Arbitration (NCIA) Rules, with the seat of arbitration in Nairobi, Kenya. The arbitration shall be conducted in English by a single arbitrator appointed in accordance with the NCIA Rules. The arbitrator's decision shall be final and binding.

Class Action Waiver

To the maximum extent permitted by law, you and Centipid waive any right to participate in class or collective action proceedings against each other.

Jurisdiction Carve-Outs

Notwithstanding the arbitration clause, either party may seek interim or injunctive relief from a court of competent jurisdiction. Nothing in this section limits your statutory rights under consumer protection law in your country of residence.

Section 19

Changes to These Terms

We may update these Terms from time to time to reflect changes in the law, platform features, or business practices. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page.
  • Send an email notification to all registered account holders at least 14 days before the changes take effect.
  • Display a notice in the Centipid dashboard when you next log in, with a summary of what has changed.

Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services and cancel your subscription before the effective date. We will refund any prepaid fees for unused periods if you cancel due to a material adverse change in the Terms.
